Engelin Teh Practice LLC ('ETP LLC') has an extensive litigation practice, headed by Senior Counsel Engelin Teh.

ENGELIN TEH


Ms Engelin Teh, SC was admitted to the Singapore Bar in 1979 after graduating from the University of Singapore with an Honours degree in Bachelor of Laws. She was appointed Senior Counsel on 10 January 1998 and was also admitted to the roll of solicitors of England and Wales on 16 October 2008.


Engelin's forte is litigation and arbitration work with particular emphasis on the following areas:


  • international commercial transactions and other contract claims, including international joint ventures, mergers and acquisitions;

  • banking claims with focus on mortgage claims, cheque forgery, loan recovery (collaterised and uncollaterised) and claims on trust receipts, letters of credit, guarantees, debentures and other forms of banking documentation; and

  • corporate litigation, including schemes of arrangement, minority oppression, shareholders' disputes, rights and liabilities of directors, breach of fiduciary duties and matters involving the Singapore Companies Act.

Engelin is also substantially involved in work relating to banking and corporate matters. In these areas, her main portfolio consists of the following:


  • preparation of and advising on agreements, acquisitions and sales of businesses and shares in different industries, including advising on the provisions of the Takeover Code;

  • preparation of and advising on commercial agreements entered into by corporate entities including distributorship and agency agreements, management agreements, consultancy agreements and service contracts, licensing agreements, assignments and novations of contracts; and

  • preparation of and advising on joint venture, partnership and shareholders' agreements and other similar arrangements.


As part of providing service to clients, Engelin has conducted various seminars and in-house training programmes for banks and financial institutions, with emphasis on banking, corporate and commercial litigation and also on the practice and procedure of real property and conveyancing.


A qualified arbitrator, Engelin is a Fellow of the Singapore Institute of Arbitrators and sits on the Panel of the Singapore International Arbitration Centre as well as the Panel for Sports Arbitration. She is also on the Panel of Arbitrators of the International Chamber of Commerce (Singapore). Besides being a member of the Inquiry Panel (Law Society), Engelin also sits on the Panel of Presidents of Disciplinary Tribunals, Supreme Court. She is also a Fellow of the Singapore Institute of Directors as well as a member of Inter-Pacific Bar Association, Asian Patent Attorney's Association, Singapore Association of Women Lawyers, Association of Criminal Lawyers of Singapore, ASEAN Intellectual Property Association and International Women's Forum (Singapore). Engelin was a volunteer judge for the Singapore Management University 1st year legal research and writing moots.



LEE KUEN YIP


Qualifications & Experience


Lee Kuen Yip graduated with Bachelor of Laws (Honours) from England in 1981 and was called to the English Bar in 1982. He was admitted to the Singapore Bar in 1983 and has since been in practice for 27 years.


Lee Kuen Yip is an experienced lawyer, having been involved in various aspects of corporate work, civil litigation, family law practice, real estate practice and Solicitors' work. In the course of his work, he has acted for various public listed companies, multinationals and private companies in drafting corporate agreements, advising on joint ventures, share sale and acquisitions, project financing, corporate compliance and regulatory matters. He has been involved in all aspects of real estate work, including advice to companies, advice and drawing up of contracts, tenders, joint ventures involving corporate real estate. He brings with him years of experience in acting for banks, both foreign and local, acting for Developers, buyers and sellers of large properties, involving land and buildings. He has been acting for CPF Board under the Residential Properties Scheme.



Major Projects


Lee Kuen Yip has acted for Capitaland in the Developers' project of Aspen Heights. He has acted for Ho Bee Development Pte Ltd in the Developers' project of Riverina and an apartment project of La Maison. In respect of large purchase and sale, he has acted in the sale of St Patrick Road land (now being developed as Grand Duchess condominium), sale of Woodleigh Close land, sale of Shan Mansion, sale of Lincoln Road land (now being developed as Iridium), purchase of the whole of 5th and 6th floor of Sim Lim Square for Hong Kong clients, purchase of 33 units of entire project named Olivio at Surrey Road for China clients, purchase of Gilstead Road land for Japanese clients (now known as Morimasa Gardens), purchase of AIA Building at Horne Road and many more other large sales and purchases. He has also acted for Seventh Day Adventists in the sale of their Thomson Road land to a Hong Kong Group, including a buy and return back of 16 units of condominium and the headquarter building for Seventh Day Adventists (now known as 800 Thomson Condominium). Recently, he has just completed the en bloc sale of Kim Seng Plaza to Lippo Group. He was also involved in the sale of Union Industrial Building at Jalan Pemimpin to a Singapore public listed company.



MICHAEL T T SEOW


Mr Michael T T Seow was called to the Bar in February 1985 after graduating with an Honours degree in Law. He has more than twenty years of experience in the areas of Conveyancing and Property Law, Landlord and Tenant Law and general solicitor's work which includes:


  • conveyancing, including sale and purchase of commercial, residential, JTC/HDB properties and en bloc sales, syndicated loans and corporate financing;

  • drafting and reviewing of mortgage and other loan documentation;

  • drafting and reviewing Lease Agreements, Agreement for Leases, Licences including updating and amending clauses, negotiations with the tenants and landlords, drafting and reviewing Deeds of Novation and Surrender, Directors' guarantees for the observation of terms of lease agreements;

JOYCE FERNANDO


Ms Joyce Fernando is a Senior Consultant in the Litigation Department.


She began her professional practice as an active litigator in 1985 with experience handling claims encompassing, employment disputes, insurance, contracts, professional negligence, defamation, tenancy and property transactions and a wide range of commercial disputes. She also advises clients on the setting up of Trusts for their Estate and asset protection and in handling probate and administration matters.


Joyce is involved cross border disputes in matrimonial litigation and does a wide range of matrimonial litigation, as well as in Arbitration and Dispute resolution matters.


As a member of the Alternative Distribution Resolution Committee of the Law Society of Singapore, Joyce is equipped to conduct Alternative Dispute Resolutions. She is currently an accredited Mediator with the Consumer Association of Singapore. Joyce is also a Panel Member with the Subordinate Courts ADR Advisory Council.


Joyce graduated in 1984 from the National University of Singapore with a LL.B (Hons) and was admitted to the Singapore Bar in 1985. Joyce was also admitted as a Solicitor (England & Wales) in 2000.


Joyce is conversant in English and Malay.



ANGELA CHEN


Ms Angela Chen read law at the National University of Singapore and graduated with an Honours degree in Bachelor of Laws (LLB) in 1988. She was admitted to the Singapore Bar in 1989. Angela also holds a Masters in Business Administration from the Nanyang Technological University, specialising in the area of Business Law.


Angela's experience spans the areas of Corporate and Commercial Law, Conveyancing and Property Law, Family Law and general solicitor's work.


Her present practice is mainly in the area of Corporate and Commercial Law, with the focus on assisting clients establish and develop businesses. She has extensive experience in advising clients on:


  • the structure of businesses;

  • establishment of new companies and businesses;

  • shareholders' agreements;

  • corporate restructuring;

  • amalgamation of companies;

  • share sales and purchase;

  • business and asset sales and purchase;

  • commercial arrangements and contracts;

ANTHONY SOH


Mr Anthony Soh is a Senior Consultant in the Litigation Department. The main portfolio of his practice is in the areas of litigation and pre-litigation advice, including:


  • commercial and corporate litigation;

  • domestic and international arbitration;

  • building contract and construction disputes;

  • insolvency/company law related litigation;

  • shareholder disputes;

  • employment disputes;

  • intellectual property disputes; and

  • landlord and tenant disputes.


Anthony has also been involved in a number of international arbitration matters between major corporations relating to disputes on installation of a semi-conductor fabrication plant, acquisition of telecommunication business in Taiwan, software distribution and licensing agreements in the Asia Pacific region, installation of telecommunication systems in Indonesia, joint venture agreement on alternative energy business, building and construction of a shopping mall, amongst others.


Anthony graduated in 1988 from the National University of Singapore with LL.B (Hons) and was admitted to the Singapore Bar in 1989.


Anthony has been named a "Leading Lawyer in Dispute Resolution" by Asialaw Leading Lawyers Survey 2007 and "One of the most highly-acclaimed legal experts in the areas of Dispute Resolution and Corporate Governance" by Asialaw Leading Lawyers Survey 2008.



ROGER NGAW


Mr Roger Ngaw graduated with LLB (Hons) from the National University of Singapore (NUS) in 1990. He completed his pupilage and was called to the Singapore Bar in 1991.


He has extensive experience in a wide variety of areas including Conveyancing and Property Law, Landlord and Tenant Law, Family Law, Corporate Law, Intellectual Property Law, Litigation and general solicitor's work. Matters that Roger has dealt with include:


  • conveyancing, including sale and purchase, mortgage and lease of residential and commercial properties;

  • divorce, adoption and probate;

  • drafting of wills and trust deeds;

  • corporate and commercial work including mergers and acquisitions;

  • registration of trade marks and enforcement of intellectual property rights; and

  • commercial litigation.


Over the past 18 years, Roger has acted for all the major banks and financial institutions in Singapore such as HSBC, Maybank, UOB, DBS, OCBC, Hong Leong Finance and Singapore Finance in various conveyancing, banking and real estate related matters.


Roger is also a Notary Public and Commissioner for Oaths. He is proficient in English, Mandarin, Cantonese and Malay.



ANDREW HO YEW CHENG


Andrew Ho Yew Cheng graduated from NUS in 1999 and attended pupillage under the comprehensive tutelage of Mr Harry Lee Wee in Messrs Braddell Brothers, until his call to the Bar in 2000.


Andrew commenced his professional practice as a Legal Assistant in Messrs Braddell Brothers and became a Partner in 2003. Andrew was a Senior Associate with Drew & Napier LLC from 2004 to 2005, and a Senior Associate with Tan Peng Chin LLC from 2005 to April 2010.


Andrew joined Engelin Teh Practice LLC in May 2010 as a Senior Consultant.

    The enforcement of a Judgment in Taiwan against clients was resisted in Singapore for over 1½ years; leave was obtained to appeal to the Court of Appeal on a novel issue of law - illegality vis-à-vis a foreign judgment.

  • BX v BY
    [2003] SGDC 29
    After successfully defending client against a Personal Protection Order application which went to trial; another 21 applications followed which concluded with client obtaining joint custody of the child and the Petitioner’s parents obtaining care and control.

  • Public Prosecutor v CHAN YU IU
    [2004] SGDC 1
    Successfully defended client against a charge of fraudulently evading Goods and Services Tax on over 80 kg of assorted jewellery (including diamonds, pearls and jade), which client allegedly sought to hand-carry into Singapore through Changi International Airport.

  • JANE REBECCA ONG v Lim Lie Hoa and Others
    [2008] 3 SLR (R) 189; [2008] 3 SLR 189; [2008] SGHC 44
    Engaged in a lengthy taxation of a Party-and-Party bill of costs involving numerous interlocutory applications culminating in an award on partial taxation (of section 3 of said bill) in the sums of £78,981.66, HK$217,132.37 and S$559,853.45; obtained judicial endorsement in respect of the definition of ‘disbursements’, reported in the Straits Times on 3 April 2008.

  • JANE REBECCA ONG v PricewaterhouseCoopers and Others
    [2009] 2 SLR (R) 796; [2009] 2 SLR 796; SGHC 29
    Engaged in separate lengthy hearings resisting applications for security for costs by all 3 defendants; successfully resisted appeals by all 3 defendants and obtained on client’s appeals a reduction of more than 40% of the total security ordered to be furnished.



THOMAS SIM


Mr Thomas Sim is an Associate Director in the Litigation Department. The main portfolio of his practice is in the areas of litigation and pre-litigation advice, including:


  • commercial and corporate litigation;

  • banking litigation;

  • shareholders' disputes;

  • breach of directors' duties;

  • employment disputes;

  • tenancy disputes;

  • defamation; and

  • professional negligence.


He also advises on pre-litigation courses of action and pre-emptive remedies, including all forms of prohibitive and mandatory injunctions.


Thomas has also been involved in a number of international arbitration matters between major corporations relating to commercial disputes on Joint Venture Agreements, Shareholders' Agreements and others.


Thomas graduated in 1997 from the National University of Singapore with an LL.B (Hons) and was admitted to the Singapore Bar in 1998.



MARK YEO


Mr Mark Yeo studied at Raffles Institution and Raffles Junior College. As a student, Mark was a competitive squash player, representing both school and country at various local and international junior tournaments. At the national level, Mark was crowned the individual champion in the under-14 and under-16 categories and was ranked amongst the top 5 in the Under-19 category.


Mark served his National Service with the 46th Singapore Armour Regiment as a sergeant in an armoured infantry company and is now a platoon sergeant in his reservist unit. After completing his National Service in 1996, Mark read law in the National University of Singapore. In 2000, he graduated from the National University of Singapore with a LLB (Hons. - 2nd Upper Class). He commenced pupilage with us in June 2000 and thereafter served as a legal associate when he was admitted to the Singapore Bar on 2 June 2001. In April 2005, Mark was made an Associate Director.

LINDA ONG


Ms Linda Ong read law in the National University of Singapore. In 2001, she graduated from the National University of Singapore with a LLB (Hons. - 2nd Upper Class). She commenced pupilage with us in June 2001 and thereafter served as a legal associate when she was admitted to the Singapore Bar in May 2002. In July 2006, Linda was made an Associate Director.
